On The Merger With:

Key Terms

> Effective August 14, 2023, ENDEGS and SIS merged under the umbrella of ETS Group (Environmental Technology Services) in order to combine their strengths and to jointly drive the internationalization of the group even more intensively.
> Kai Sievers, founder and managing director of ENDEGS, intends to gradually withdraw from day-to-day operations after a transitional period and will continue to be associated with ETS Group in advisory capacities.
> Aquin acted as the sole M&A advisor for ENDEGS and its selling shareholder.

Strategic Logic

> In order to fully realize the further growth potential for ENDEGS’ solutions and at the same time to implement Mr. Sievers’ entrepreneurial succession, Mr. Sievers has been looking for a partner who fits ENDEGS’ identity of a midsized company, but at the same time understands the technology and the customers and will continue the historical grown relationships in a spirit of partnership.
> The joint group will focus on expanding management and sales structures to tap into new growth potentials in additional international markets within the chemical industry and related industrial and application areas.

ENDEGS

> ENDEGS GmbH, based in Pförring (GER), is a leading environmental service company and expert for mobile, time and cost-efficient combustion of toxic, dangerous and climate-damaging gases, gas mixtures and vapors without open flame and noise.
> The company operates its own manufactured and patented mobile vapor combustion units and offers an all-in service package including personnel and additional rental equipment (one-stop-shop for the whole vapor treatment process).
> Their services play a crucial role in not only supporting the oil & gas, (petro)chemical, marine & shipping, fertilizer, food, and automotive industries, but they are also contributing to a cleaner and greener world.

SIS

> SIS GmbH, based in Amelinghausen (GER), is an international market leader in the operation of mobile thermal exhaust gas cleaning systems and complementary equipment. The services and technologies offered by SIS play an important role for customers in reducing emissions (especially volatile hydrocarbons).
> In 2019, the independent German private equity company ECM Equity Capital Management GmbH has acquired a majority stake in SIS.
